1. القبول
باستخدام منصة NOVAERPS («المنصة»، «الخدمة») فإنك توافق على هذه الشروط. إن كنت تقبل نيابة عن منشأة، فإنك تقرّ بصلاحيتك لإلزامها.
2. وصف الخدمة
NOVAERPS شركة تقنية سعودية متخصصة في حلول البرمجيات وأنظمة إدارة الأعمال والتحول الرقمي. تقدّم منصة SaaS لإدارة موارد المنشأة (ERP) عبر الويب، بما يشمل وحدات بحسب الباقة (مثل المالية، المخزون، الموارد البشرية، وغيرها) ولوحات المنصة/الإدارة للمشغّل.
نسعى لتوفير الخدمة بدرجة معقولية تجارية من التوفر والأمان، دون ضمان عدم انقطاع مطلق.
3. الحسابات والصلاحيات
توجد قنوات دخول منفصلة (بوابة / منصة / إدارة). أنت مسؤول عن سرية بيانات الاعتماد وتفعيل المصادقة الثنائية عند طلبها للأدوار الحساسة.
المشترك مسؤول عن إدارة مستخدميه وصلاحياتهم وبياناتهم داخل المستأجر (Tenant).
4. الاشتراك والفوترة
الأسعار والباقات تُعرض في صفحات التسعير/الاشتراك. المدفوعات تتم عبر بوابة دفع معتمدة عند تفعيلها. الرسوم غير مستردة إلا حيث يلزم النظام أو سياسة استرجاع مكتوبة لاحقاً.
قد نعلّق أو نقيّد الخدمة عند تأخر السداد أو مخالفة الشروط بعد إشعار مناسب عند الإمكان.
5. بياناتك وملكيتها
تظل بيانات أعمالك ملكاً لك (أو لمنشأتك). تمنحنا ترخيصاً محدوداً لاستضافتها ومعالجتها لتشغيل الخدمة فقط. عند الإنهاء، نوفّر مسارات تصدير معقولة حيث تتوفر، مع احتفاظ نظامي عند اللزوم.
6. الملكية الفكرية
المنصة والبرمجيات والعلامات «NOVAERPS» وواجهاتها ملك للمشغّل أو مرخّصيها. لا يُمنح سوى حق استخدام محدود غير حصري طوال الاشتراك الساري.
7. الاستخدام المقبول
يخضع استخدامك لسياسة الاستخدام المقبول (AUP). أي مخالفة جوهرية تُعدّ إخلالاً بهذه الشروط.
8. التكاملات والأطراف الثالثة
قد تعتمد الخدمة على مزوّدين (دفع، بريد، بنية، ذكاء اصطناعي اختياري). شروطهم قد تنطبق على أجزائهم. لسنا مسؤولين عن انقطاع خارج سيطرتنا المعقولة.
9. إخلاء المسؤولية
تُقدَّم الخدمة «كما هي» و«حسب التوفر» ضمن الحدود النظامية. لا نضمن ملاءمة معينة لكل نشاط تجاري أو خلو من الأخطاء غير الجوهرية.
10. تحديد المسؤولية
إلى أقصى حد يسمح به النظام المعمول به، لا تتجاوز مسؤوليتنا الإجمالية تجاهك عن أي مطالبة متعلقة بالخدمة مجموع الرسوم التي دفعتها لنا عن الخدمة المعنية خلال الاثني عشر (12) شهراً السابقة للواقعة، باستثناء ما لا يجوز الاتفاق على استبعاده نظاماً (مثل الضرر الناتج عن غش أو إصابة جسدية حيث ينطبق).
11. التعويض
تلتزم بتعويضنا عن مطالبات الغير الناشئة عن إساءة استخدامك للخدمة أو انتهاكك للأنظمة أو حقوق الغير أو محتوى تُدخله، في حدود ما يسمح به النظام.
12. الإنهاء
يمكنك إيقاف الاشتراك وفق آلية الحساب. يحق لنا إنهاء أو تعليق الوصول فوراً عند مخالفة جوهرية أو خطر أمني أو طلب جهة مختصة.
13. النظام الواجب وهيئة الفصل
تخضع هذه الشروط لأنظمة المملكة العربية السعودية. تُحلّ النزاعات ودياً أولاً، ثم أمام المحاكم التجارية المختصة في مدينة الرياض، ما لم يُتفق كتابةً على تحكيم تجاري.

1. Acceptance
By using the NOVAERPS platform (“Platform”, “Service”), you agree to these Terms. If you accept on behalf of an entity, you represent that you are authorized to bind it.
2. Service Description
NOVAERPS is a Saudi technology company specializing in software solutions, business management systems, and digital transformation. It provides a cloud ERP SaaS delivered via the web, including plan-dependent modules (e.g., finance, inventory, HR) and operator platform/admin consoles.
We aim for commercially reasonable availability and security, without guaranteeing uninterrupted service.
3. Accounts
Auth channels are separated (portal / platform / admin). You are responsible for credential confidentiality and enabling MFA when required for privileged roles.
Subscribers are responsible for their users, permissions, and tenant data.
4. Subscription & Billing
Pricing is shown on pricing/checkout pages. Payments go through an approved gateway when enabled. Fees are non-refundable except where required by law or a written refund policy.
We may suspend or limit service for non-payment or Terms breach after notice where feasible.
5. Your Data
Your business data remains yours (or your entity’s). You grant us a limited license to host and process it solely to operate the Service. Upon termination we provide reasonable export paths where available, subject to legal retention.
6. Intellectual Property
The Platform, software, NOVAERPS marks, and UI are owned by the operator or its licensors. You receive only a limited, non-exclusive right to use during a valid subscription.
7. Acceptable Use
Use is subject to the Acceptable Use Policy (AUP). Material AUP breaches are Terms breaches.
8. Third Parties
The Service may rely on providers (payments, email, infrastructure, optional AI). Their terms may apply to their components. We are not liable for outages outside our reasonable control.
9. Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” to the fullest extent permitted by law. We do not warrant fitness for a particular business purpose or freedom from non-material defects.
10. Limitation of Liability
To the maximum extent permitted by applicable law, our aggregate liability arising from the Service shall not exceed the fees you paid us for the relevant Service in the twelve (12) months preceding the claim, except for liabilities that cannot be limited by law.
11. Indemnity
You will indemnify us against third-party claims arising from your misuse of the Service, violation of law or third-party rights, or content you upload, to the extent permitted by law.
12. Termination
You may stop a subscription via account mechanisms. We may suspend or terminate immediately for material breach, security risk, or lawful authority request.
13. Governing Law
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Disputes shall first be addressed amicably, then before the competent Commercial Courts in Riyadh, unless the parties agree in writing to commercial arbitration.
